MEELAY — TERMS AND CONDITIONS
Welcome to meelay. These Terms and Conditions ("Terms") govern your access to and use of the meelay mobile application, the website at meelay.app, and any related services (collectively, the "Service").
The Service is owned and operated by Xfstech Solutions LLP, a limited liability partnership incorporated in India having its registered office at 574, Paner Ara, Jagir Ghat Road, Thakurpukur LP-90/30, Kolkata, West Bengal 700063, with LLPIN AAZ-2961 ("meelay", "Xfstech", "we", "us", or "our").
By downloading, installing, accessing, registering on, or using the Service, you ("you", "User") confirm that you have read, understood, and agreed to be bound by these Terms, our Privacy Policy, our Community Guidelines (if separately published), and any rules posted within the Service.
Together, these constitute a legally binding agreement between you and meelay.
If you do not agree to any part of these Terms, you must not access or use the Service.
1. Acceptance of Terms
By accessing or using the Service, you represent and confirm that:
- You have read and understood these Terms and our Privacy Policy.
- You agree to comply with all applicable laws of India and the jurisdiction where you reside.
- You agree to be legally bound by these Terms.
- If you are using the Service on behalf of another person (which is not permitted in the case of a personal matrimonial profile), you warrant that you have the authority to bind that person.
These Terms incorporate the Privacy Policy (available at meelay.app/privacy) by reference. The Privacy Policy describes how we collect, use, and protect your personal data.
2. Definitions
In these Terms, the following capitalised terms have the meanings set out below:
- "Account" means a registered user profile on the Service created under your Google credentials.
- "Connection Request" means a request sent by one Verified User to another User to express matrimonial interest.
- "Content" means any information, data, text, photographs, video, audio, profile details, messages, or other material posted, uploaded, transmitted, or otherwise made available through the Service.
- "meelay Diamonds" means the virtual in-app currency that may be purchased through the Google Play Store, as described in Section 8.
- "meelay Gold Coins" means the virtual in-app token derived from meelay Diamonds or earned through rewarded advertisements, used to perform certain actions within the Service.
- "Verification Document" means a copy of your Voter Identity Card or Driver's Licence issued by the Government of India, submitted by you for identity verification.
- "Verified User" means a User whose Account has successfully passed meelay's verification process.
- "Unverified User" means a User whose Account has not been verified or whose verification is pending.
3. Eligibility
To use meelay, you must:
- Be at least 21 years of age at the time of registration.
- Have the legal capacity to enter into a binding contract under the Indian Contract Act, 1872.
- Have the legal capacity to marry under the personal laws applicable to you in India (or applicable to you in your jurisdiction of residence).
- Not be currently married, unless your personal law expressly permits multiple marriages and you have disclosed your existing marriage in your profile.
- Not be a person prohibited from using the Service under any applicable law, court order, or regulatory direction.
- Not have been previously banned or removed from the Service.
By using the Service, you warrant that you meet all of the above requirements. We may, at our sole discretion, require proof of any of these representations and may suspend or terminate your Account if we have reason to believe any are untrue.
Matrimonial-Specific Warning
Misrepresentation of your marital status, age, identity, employment, income, family details, or other material information may constitute fraud under Indian law and may also constitute a criminal offence under the Indian Penal Code (e.g., Section 415 — cheating).
meelay will report material misrepresentation to law enforcement when required to do so and will cooperate fully with investigations.
4. Account Creation and Google Authentication
4.1 Account Creation
To access the features of meelay, you must create an Account using your Google account (Google Sign-In). The Service does not offer registration via email-and-password or mobile number at the time of these Terms.
4.2 Google Authentication
By using Google Sign-In, you authorise us to access and use certain information from your Google account (specifically, your name, email address, and profile photo) as permitted by Google's terms and your Google privacy settings. You should also review the terms and privacy policy of Google before using Google Sign-In with the Service.
4.3 Account Information Accuracy
You agree to:
- Provide true, accurate, current, and complete information in your profile.
- Maintain and promptly update your profile information to keep it true, accurate, current, and complete.
- Not impersonate any other person or create a profile that misrepresents you in any material respect.
4.4 Account Security and Responsibility
You are responsible for maintaining the confidentiality of your Google account credentials. You are responsible for all activities that occur under your Account, whether or not authorised by you. You must notify us immediately at security@meelay.app of any unauthorised access to or use of your Account. meelay is not liable for any loss or damage arising from your failure to safeguard your Account credentials.
4.5 One Account Per Person
Each individual may maintain only one active Account on meelay. Creating multiple Accounts to circumvent verification requirements, evade a suspension, or otherwise misuse the Service is prohibited and may result in termination of all associated Accounts.
5. Verification Process
5.1 Purpose of Verification
To enhance the authenticity and safety of the matrimonial community on meelay, we operate a verification process. Verification helps reduce fake profiles, scams, and other harmful behaviour.
5.2 Video Verification
meelay may offer a video verification feature, in which a User completes a short live video check. Participation in video verification is voluntary, but may be required to access certain features (including the ability to send Connection Requests). Video verification recordings, if retained, are handled in accordance with our Privacy Policy.
5.3 Document Verification
For identity verification, you may be asked to upload a copy of your Voter Identity Card or Driver's Licence issued by the Government of India (a "Verification Document").
- Purpose limitation: Verification Documents are collected solely for identity verification. They will not be used for any other purpose without your separate, specific consent.
- Storage: Verification Documents are stored in encrypted form, with access strictly limited to authorised verification personnel.
- Retention: Verification Documents will be retained for 90 to 180 days after successful verification and then securely deleted, unless we are legally required to retain them for longer.
- Right to withdraw: You may request deletion of your Verification Documents at any time by contacting our Grievance Officer (Section 18). Note that doing so will revoke your Verified User status until you re-verify.

5.5 Right to Reject Verification
meelay reserves the right, at its sole discretion, to reject any verification submission where:
- The document appears altered, forged, or invalid.
- The photograph on the document does not match the User.
- The name on the document does not match the name on the Account.
- There is reasonable suspicion of fraud or misuse.
Rejected verification will be communicated to you with a reason, where lawful to do so, and you will have an opportunity to re-submit subject to our fair-use limits.
6. Use of the Service and User Conduct
6.1 Permitted Use
meelay is a platform exclusively for genuine matrimonial purposes — to facilitate connections between individuals seeking marriage. Basic use of the Service is currently free of charge, subject to in-app purchases of virtual currency described in Section 8.
6.2 Prohibited Conduct
You agree that you will not, and will not attempt to:
- Harass, abuse, intimidate, threaten, stalk, bully, or defame any other User.
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
- Post, transmit, or share any Content that is false, misleading, fraudulent, defamatory, obscene, pornographic, sexually explicit, discriminatory, hateful, or that incites violence.
- Post, transmit, or share any Content that infringes the intellectual property, privacy, or other rights of any person.
- Solicit money, financial information, payment instruments, or commercial favours from other Users.
- Send spam, chain messages, promotional content, or any other unsolicited communications.
- Use the Service to advertise, promote, or solicit business for any third party.
- Upload, transmit, or introduce any virus, malware, worm, trojan, or other malicious code.
- Attempt to gain unauthorised access to the Service, other Users' Accounts, or our systems.
- Use any automated means (bots, scrapers, crawlers) to access, monitor, copy, or download Content from the Service.
- Reverse-engineer, decompile, or attempt to extract source code from the Service.
- Use the Service for any purpose other than its intended matrimonial purpose.
- Use the Service for any "casual dating," "hookup," escort, or commercial sexual activity.
- Engage in any activity that violates the Information Technology Act, 2000, the Indian Penal Code, 1860, or any other applicable Indian law.
- Share contact details (phone, email, social media handles) of yourself or other Users in your public profile or in early-stage messages, in a manner that bypasses the Service's safety features.
- Share, redistribute, or publish other Users' Content (including photos) outside of the Service without their express consent.
- Discriminate against, harass, or refuse to engage with other Users on the basis of any prohibited ground under Indian law.
6.3 Consequences of Prohibited Conduct
Violation of these conduct rules may result in:
- Removal of offending Content.
- Temporary or permanent suspension of your Account.
- Forfeiture of any meelay Diamonds or meelay Gold Coins in your Account.
- Reporting to law enforcement, where required by law or where we believe a serious offence may have been committed.
- Legal action by meelay to recover any damages we may suffer.
7. User-Generated Content
7.1 Your Content, Your Responsibility
You are solely responsible for all Content you post, upload, share, or transmit on or through the Service, including profile information, photographs, messages, and any other material. You represent and warrant that:
- You own or have all necessary rights to the Content.
- Your Content does not violate any law or these Terms.
- Your Content does not infringe the rights of any third party.
- Any photographs you upload are of yourself.
7.2 Licence to meelay
By posting Content on the Service, you grant meelay a non-exclusive, royalty-free, worldwide, sublicensable licence to host, store, reproduce, display, adapt, and distribute that Content solely for the purpose of operating, providing, and improving the Service. This licence is limited to the purposes of the Service and ends when you delete the Content or your Account, except to the extent that we are legally required to retain copies or that we have already shared the Content with another User who has lawfully saved it.
We will never use your photographs or personal Content in advertisements or marketing materials without your specific, separate written consent.
7.3 Content Moderation
meelay reserves the right (but is not obligated, in its capacity as an intermediary) to review, moderate, edit, or remove any Content that we believe violates these Terms or applicable law. We may use automated systems (including AI-based moderation) and human reviewers to detect and remove prohibited Content. We will remove Content reported by another User where, in our reasonable judgment, it violates these Terms — within the timelines prescribed by the IT Rules 2021.
7.4 Reporting Content
Every profile and message on the Service includes a reporting tool. You may also report Content directly to our Grievance Officer (Section 18). Reports are reviewed promptly, and confirmed violations result in Content removal and possible Account suspension.
8. meelay Diamonds and meelay Gold Coins
8.1 meelay Diamonds
meelay Diamonds are a virtual in-app currency that may be purchased through the Google Play Store using Google Play's billing system (including Google Pay or other payment methods supported by Google Play). All purchases are processed by Google. We do not collect or store your payment card details. The price of meelay Diamonds is displayed at the point of purchase and may be revised from time to time.
8.2 Conversion to meelay Gold Coins
meelay Diamonds may be converted within the Service into meelay Gold Coins. The conversion rate is displayed in the Service at the time of conversion and may be revised at our discretion. Conversion, once completed, is final and cannot be reversed.
8.3 Use of meelay Gold Coins
meelay Gold Coins may be spent within the Service to perform actions or access features, including (without limitation):
- Sending Connection Requests to Verified Users (in cases where coin payment is required by the Service).
- Accessing additional profile details.
- Accessing premium features that may be introduced from time to time.
The cost of each action in meelay Gold Coins is displayed at the time of the action and may be revised at our discretion.
8.4 Earning Coins via Rewarded Advertisements
The Service may offer you the option to watch rewarded video advertisements served by third-party advertising networks to earn meelay Gold Coins. The number of coins earned per advertisement and the availability of such advertisements are determined by the advertising network and the Service, and are subject to change without notice.
8.5 No Refunds
All purchases of meelay Diamonds are final and non-refundable, except where a refund is expressly required by applicable law or by Google Play Store policies. We do not offer refunds for:
- Unused meelay Diamonds.
- Unused meelay Gold Coins.
- Any virtual items, features, or actions accessed using meelay Diamonds or meelay Gold Coins.
- Coins or items forfeited due to Account suspension or termination resulting from violation of these Terms.
Refund requests permitted under Google Play Store policy must be initiated through Google Play.
8.6 No Real-World Value
meelay Diamonds and meelay Gold Coins are virtual items with no real-world monetary value. They cannot be exchanged for real money, goods, or services outside the Service. They cannot be sold, transferred, gifted, or assigned to any other person. They are not deposits, credit, or any form of stored value under Indian banking or payment system regulations.
8.7 Modification or Discontinuation
We reserve the right to modify, suspend, replace, or discontinue meelay Diamonds, meelay Gold Coins, or any feature accessible through them, at any time. Where reasonably practicable, we will provide advance notice within the Service before discontinuing the virtual currency system, and we will set out a fair process for Users to use up existing balances.
9. Advertising and Google AdMob
The Service is monetised in part by advertisements served through Google AdMob, operated by Google LLC and its affiliates.
9.1 What This Means
Advertisements may appear within the Service in various formats (banners, interstitials, rewarded videos). To serve relevant advertisements, Google AdMob and its partners may process certain device and usage information, including your Android Advertising Identifier (AAID), approximate location derived from IP address, device characteristics, and information about your interactions with advertisements. Detailed information about how data is shared with Google AdMob is set out in our Privacy Policy.
9.2 Your Choices
You may reset your Android Advertising Identifier or opt out of personalised advertising at any time through your device settings. Continued use of the Service is subject to acceptance of advertisements as part of the free service model.
10. Intellectual Property
10.1 Our Intellectual Property
The Service, including the meelay app, the meelay.app website, and all original Content created by meelay (text, graphics, logos, icons, images, audio, video, code, design, layout, and software), is the exclusive property of Xfstech Solutions LLP and its licensors, and is protected by the Copyright Act 1957, the Trade Marks Act 1999, the Patents Act 1970, and other applicable intellectual property laws of India and other countries.
10.2 What You May Not Do
Except as expressly permitted by these Terms, you may not:
- Reproduce, copy, modify, distribute, display, transmit, or create derivative works of any part of the Service.
- Use any meelay name, logo, or trademark in any manner without our prior written consent.
- Use any data-mining, robots, scrapers, or similar tools to extract data from the Service.
- Frame, mirror, or otherwise incorporate the Service or any part of it into another website, application, or service.
10.3 Limited Licence to You
Subject to your compliance with these Terms, meelay grants you a limited, non-exclusive, non-transferable, revocable licence to download, install, and use the Service on a device you own or control, solely for your personal and non-commercial use.
11. Third-Party Services
The Service integrates with or relies on certain third-party services, including Google Sign-In, Google AdMob, Google Firebase, the Google Play Store, and (where applicable) third-party payment, SMS, and advertising providers.
Your use of these third-party services is subject to the terms and privacy policies of those third parties, in addition to these Terms. meelay does not control these third-party services and is not responsible for their availability, accuracy, content, or practices. Issues arising directly from a third-party service (for example, a payment processed by Google Play) must be resolved with that third party in the first instance, though we will assist you where reasonable.
12. Privacy
Your privacy is important to us. Our Privacy Policy, available at meelay.app/privacy, describes:
- What personal data we collect.
- How we use and share that data.
- How long we retain data.
- Your rights as a Data Principal under the DPDP Act 2023.
- How to contact our Grievance Officer.
By using the Service, you confirm that you have read and understood the Privacy Policy and consent to the processing of your personal data as described in it.
13. Disclaimers
13.1 General Disclaimer
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS.
13.2 Matrimonial-Specific Disclaimers
meelay is a platform that connects Users — it is not a matchmaker, a marriage broker, or a guarantor of any match. Specifically, you acknowledge and agree that:
- meelay does not arrange, negotiate, or facilitate marriages on your behalf.
- meelay does not independently verify the truthfulness or accuracy of profile information posted by other Users, including their employment, income, education, family background, marital history, health status, horoscope, or any other claim.
- meelay's verification process (Section 5) verifies identity only and does not constitute a comprehensive background check.
- meelay does not guarantee that you will find a match, receive Connection Requests, or have a successful matrimonial outcome.
- meelay is not responsible for the conduct, statements, or actions of any other User, whether online or offline.
- meelay is not responsible for any meeting, relationship, engagement, marriage, or any consequence (financial, emotional, physical, or otherwise) arising from your interactions with another User.
You agree to exercise independent judgment and reasonable caution when interacting with other Users. meelay strongly recommends that, before any offline meeting or marriage, you independently verify the claims of the other User through trusted personal channels, family inquiry, and where appropriate, professional background verification services.
13.3 No Professional Advice
Nothing in the Service constitutes legal, financial, medical, astrological, or relationship counselling advice. Any third-party content, articles, or features provided through the Service are for general information only and should not be relied upon as professional advice.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
14.1 Exclusion of Indirect Damages
MEELAY, XFSTECH SOLUTIONS LLP, ITS PARTNERS, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
14.2 Cap on Direct Damages
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF:
- (a) The total amount paid by you to meelay (for example, through meelay Diamond purchases) in the twelve (12) months preceding the event giving rise to the claim;
- or
- (b) ₹1,000 (Indian Rupees One Thousand only).
14.3 Exclusions That Cannot Be Limited
Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for:
- Death or personal injury caused by gross negligence.
- Fraud or fraudulent misrepresentation by meelay.
- Any other liability that, under Indian law, cannot be limited or excluded.
15. Indemnification
You agree to indemnify, defend, and hold harmless meelay, Xfstech Solutions LLP, its partners, affiliates, officers, employees, agents, and licensors from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your breach of these Terms, the Privacy Policy, or any applicable law.
- Your Content, including any claim that your Content infringes the rights of a third party.
- Your interactions with other Users, whether online or offline.
- Your misuse of the Service.
- Your misrepresentation of any material fact (including identity, age, marital status, income, or family details).
meelay reserves the right to assume the exclusive defence and control of any matter for which you are required to indemnify us, in which case you agree to cooperate fully with our defence.
16. Suspension and Termination
16.1 Grounds for Suspension or Termination
We may suspend or terminate your Account and access to the Service, with or without prior notice, for reasons including:
- Violation of these Terms or our Community Guidelines.
- Providing false, misleading, or inaccurate information.
- Abusive, harassing, threatening, or otherwise inappropriate behaviour.
- Misuse of the Service for purposes other than genuine matrimonial connection.
- Conduct violating Indian law, including the Information Technology Act 2000.
- Suspicious, fraudulent, or unsafe activity.
- Failure to complete or pass the verification process.
- A direction from law enforcement, court, or regulatory authority.
- Extended inactivity (defined as no login for 12 months).
16.2 Effect of Suspension or Termination
- Your right to access and use the Service immediately ceases.
- Your profile is removed from public visibility.
- Any meelay Diamonds or meelay Gold Coins in your Account are forfeited, except where prohibited by law.
- Provisions that by their nature should survive termination (including Sections 10, 11, 13, 14, 15, 18, 20, and 21) shall survive.
16.3 Right to Appeal
If your Account is suspended or terminated, you have the right to appeal. To appeal, contact our Grievance Officer (Section 18) within 30 days of the suspension or termination. Your appeal will be reviewed by a person other than the one who took the original action, and you will receive a written response within 15 days. If you remain dissatisfied with our response, you may approach the Grievance Appellate Committee constituted under Rule 3A of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.
16.4 Termination by You
You may terminate your Account at any time by selecting "Delete Account" within the Service or by contacting our Grievance Officer. On termination, your Personal Data will be handled in accordance with our Privacy Policy.
17. Intermediary Status
meelay is an "intermediary" within the meaning of Section 2(1)(w) of the Information Technology Act, 2000. Accordingly:
- meelay merely provides the technical platform for Users to create profiles and interact with each other.
- We do not author, create, initiate, or modify User-generated Content.
- meelay is entitled to the safe-harbour protection under Section 79 of the Information Technology Act, 2000, in respect of third-party Content, subject to compliance with the conditions of that section.
- meelay complies with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, including the publication of these Terms, Privacy Policy, the appointment of a Grievance Officer, and prompt action on lawful requests for removal of unlawful Content.
- meelay is not, and shall not be deemed to be, a party to any communication, agreement, relationship, engagement, or marriage between Users.
18. Reporting and Grievance Redressal
We take complaints and grievances seriously. The Service provides multiple channels for reporting and grievance redressal.
18.1 In-App Reporting
Every profile and message in the Service includes a "Report" function. Reports are reviewed by our moderation team within the timelines required by law (currently 24 hours for clearly objectionable content under the IT Rules 2021, and 15 days for other reports).
18.2 Grievance Officer
In accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, and the Digital Personal Data Protection Act 2023, we have appointed a Grievance Officer:

18.3 Timelines
- Acknowledgement: We will acknowledge your grievance within 24 hours of receipt.
- Resolution: We will resolve most grievances within 15 days of receipt.
- Objectionable content reports (under Rule 3(2)(b) IT Rules 2021): Action within 24 hours.
18.4 Escalation
If you are not satisfied with the resolution provided by our Grievance Officer, you may approach:
- The Grievance Appellate Committee under Rule 3A of the IT Rules 2021 (for content / intermediary issues).
- The Data Protection Board of India (for data protection issues under the DPDP Act).
- Any other competent forum under Indian law.
19. Force Majeure
meelay shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay is caused by circumstances beyond our reasonable control, including:
- Acts of God, natural disasters, fire, flood, earthquake.
- War, terrorism, civil unrest, government action or order.
- Pandemics, epidemics, public health emergencies.
- Failure of internet, telecommunications, or power infrastructure not within our control.
- Cyberattacks or unauthorised intrusions despite reasonable security measures.
- Strikes or labour disputes not involving our own employees.
During a force majeure event, our obligations are suspended for the duration of the event. We will use reasonable efforts to mitigate the impact and resume normal Service promptly.
20. Governing Law and Dispute Resolution
20.1 Governing Law
These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles.
20.2 Informal Resolution First
In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the Service, you agree to first contact our Grievance Officer in good faith to seek an informal resolution. Most disputes can be resolved at this stage.
20.3 Arbitration
If a dispute is not resolved within 30 days of being referred to our Grievance Officer, and the amount in dispute exceeds ₹50,000, the dispute shall be resolved by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be:
- Conducted by a sole arbitrator mutually agreed by the parties (or, failing agreement, appointed in accordance with the said Act).
- Seated at Kolkata, West Bengal, India.
- Conducted in the English language.
- Final and binding on both parties.
20.4 Jurisdiction for Other Matters
Subject to the above arbitration clause, all other disputes shall be subject to the exclusive jurisdiction of the competent courts at Kolkata, West Bengal, India.
20.5 Right to Seek Injunctive Relief
Nothing in this Section prevents either party from seeking urgent injunctive or equitable relief from a competent court to protect intellectual property, confidential information, or to prevent imminent irreparable harm.
21. Changes to These Terms
We may revise these Terms from time to time. When we make changes:
- For non-material changes (e.g., typographical corrections), we may update the "Last Updated" date without further notice.
- For material changes, we will notify you at least 14 days before the changes take effect, through an in-app notification, email, or push notification.
If you continue to use the Service after the effective date of a material change, you will be deemed to have accepted the revised Terms. If you do not accept the changes, you may delete your Account before the effective date. We encourage you to review these Terms periodically at meelay.app/terms.
22. General Provisions
22.1 Entire Agreement
These Terms, together with the Privacy Policy and any other documents expressly incorporated by reference, constitute the entire agreement between you and meelay regarding the Service and supersede all prior or contemporaneous communications and proposals, whether oral or written.

If any provision of these Terms is held by a competent court or tribunal to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.

22.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms (including in connection with a merger, acquisition, or sale of assets) without your consent, subject to providing reasonable notice.
